Any individual who accesses, uses, and/or purchases any product or services offered or provided on or through the Website shall hereinafter collectively or individually be referred to as a "User”. Further, any mention herein of "METAMENTOR” or this Website shall refer to VIP INNOVATION SDN BHD by extension. The terms and conditions set out herein are an agreement between the User and METAMENTOR ("Agreement).
The Website and all its product and services herein are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein ("the Terms"). The purpose of these Terms is to establish clear guidelines for the use of the platform and to protect both the User and METAMENTOR.
By you accessing, using, registering, and/or purchasing any product or services offered or provided on or through the Website, you have deemed to have, at all material times, accepted and agreed to all the Terms without modification. Please read these terms carefully and you may keep a copy of them for your reference.
The Website is an online tutorial platform for Mentor and User to connect to learn subjects of various categories from a myriad of Mentor available. For the purposes of these Terms and Conditions, a "Mentor" refers to an educator who has been approved by METAMENTOR to offer their services on the Website. A Mentor set his/her own rates and schedules and the User pays for classes within the site and picks a Mentor.
User Accounts
Electronic Communications
Visiting the Website or sending emails to METAMENTOR constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email, and on the Website, satisfy any legal requirement that such communications be in writing.
Your Account on METAMENTOR
As a User, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer or any other device which you use to access this Website and you are solely responsible for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity without prior written consent from METAMENTOR. You acknowledge that METAMENTOR is not responsible for any unauthorized access to your account, including access resulting from theft or misappropriation of your account information. METAMENTOR reserves the right to refuse or cancel service to any User, and to terminate accounts or remove/edit content at our sole discretion. We will provide notice to the User in the event of any account termination or content removal/editing.
Users must be of the age of which they are legally able to give consent to the processing of personal data which under the laws of Malaysia is the minimum age of eighteen (18). METAMENTOR reserves the right to reject any registration by Users who are younger than eighteen years of age. If we become aware that any User below the age of eighteen (18) has registered with us, we shall have the right to remove or delete the registration [including all data of the User] without notice given to the User.
Use of METAMENTOR
No Unlawful or Prohibited Use/Intellectual Property
By accessing and using the Website, you agree to comply with these terms of use. Your license to access and use the Website is non-exclusive, non-transferable, and revocable. You may only use the Website for lawful purposes and in accordance with these terms of use. You may not use the Website in any manner which could damage, disable, overburden, or impair the Website or interfere with any other party's use and enjoyment of the Website. This includes any unauthorized attempts to access or obtain materials or information made available or provided through the Website. Any violation of these terms may result in the suspension or termination of your account, as well as potential legal consequences.

By using the Website, you agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.
You agree not to modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Website or provided by any Mentor. The content provided by METAMENTOR or its Mentor is not for resale. You may not use protected content without authorization, and you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of METAMENTOR and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of METAMENTOR or our Mentor, or our licensors except as expressly authorized by these Terms.
Use of Communication Services
The Website may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"). You agree to use the Communication Services only for appropriate messages and material related to the purpose of the website. You shall at all times during your access and use of the Website maintain decorum and use language that is respectful of others.

METAMENTOR has no obligation to monitor the Communication Services. However, METAMENTOR reserves the right to review materials posted to a Communication Service and to remove any materials at its sole discretion. METAMENTOR reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
METAMENTOR reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials, in whole or in part, in METAMENTOR's sole discretion.
Please always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. METAMENTOR does not control or endorse the content, messages, or information found in any Communication Service and, therefore, METAMENTOR specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Mentor are not authorized METAMENTOR spokespersons, and their views do not necessarily reflect those of METAMENTOR.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you choose to upload the materials.
User-Provided Materials and Submissions to METAMENTOR
METAMENTOR does not claim ownership of the materials you provide to the Website (including feedback and suggestions) or post, upload, input, or submit to the Website or our associated services (collectively "Submissions").
However, by making a Submission, you grant METAMENTOR and its related, associated, or affiliated companies permission to use your Submission in connection with the operation of their businesses including the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission. METAMENTOR also has the right to publish your name in connection with your Submission.
You will not receive any compensation with respect to the use of your Submission, as provided herein. METAMENTOR is under no obligation to post or use your Submission and may remove any Submission at any time at METAMENTOR's sole discretion.
By making a Submission, you warrant and represent that you own or otherwise control all the rights to your Submission, including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions.
Third-Party Accounts
METAMENTOR allows you to connect your account to third-party accounts. By connecting your METAMENTOR account to a third-party account, you acknowledge and agree that:
· You are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third-party sites).
· If you do not want information about you to be shared in this manner, you should not use this feature.
Links to Third-Party Sites
Additionally, the Website may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of METAMENTOR and METAMENTOR is not responsible for:
· The contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.
METAMENTOR is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by METAMENTOR of the site or any association with its operators.
Third-Party Services
Certain services made available via the Website are delivered by third-party sites and organizations. By using any product, service, or functionality originating from the Website domain, you acknowledge and consent that:
· METAMENTOR may share such information and data with any third party with whom METAMENTOR has a contractual relationship to provide the requested product, service, or functionality on behalf of METAMENTOR’s User and customers.
Payments and Refunds
Payments by Users for products and services offered by METAMENTOR can be made through the following modes:

Wallet Policies
METAMENTOR offers an on-platform wallet function to all its User, which can be used for various types of transactions, such as purchasing courses or booking sessions with Mentor. All balances will be refunded to the account owner in the event of any closure or discontinuation of the platform. Balances stored in the wallet cannot be withdrawn and are not subject to any interest rates.
User can top up their wallet balances using various payment methods supported by METAMENTOR. Once topped up, wallet balances can be used to pay for METAMENTOR services, including classes, tutorials, and other services offered on the platform. Wallet balances are non-refundable except as provided for in the Cancellation/Refund Policy section of these terms.
In the event of cancellation or refund, any refundable amount will be credited back to the User's wallet balance, which can be used for future purchases on the METAMENTOR platform. METAMENTOR reserves the right to suspend or terminate any User's wallet balance or account for any violation of these terms or other policies, or for any other reason deemed necessary by METAMENTOR.
In all circumstances, if any refund is unsuccessful (e.g. where the bank account or transfer details provided by the account owner are incorrect and the account owner is not traceable by METAMENTOR or does not respond to queries from METAMENTOR, then such unclaimed refunds may be forfeited by METAMENTOR after 1 year such refunds remaining unclaimed.

Cancellation/Refund Policy for User
If you cancel your class purchase, the following shall apply:
· Cancellation made one week prior to the start of the class: 100% refund.
· Cancellation made 72 hours (3 days) prior to the start of the class: 50% refund.
· Cancellation made less than 72 hours (3 days) prior to the start of the class: No refund.
If the Mentor cancels your class without providing a replacement, then you shall be entitled to a 100% refund. If a replacement class is provided by the Mentor and you wish to cancel the replacement class, then the cancellation/refund policy above (where you cancel your class purchase) shall apply.
Interpretation
For avoidance of doubt, the payment and refund terms stated here is applicable generally to products made available at the Website where no terms and conditions for the product is stated. However, should you have signed up for specific packages offered in METAMENTOR which provides for its own specific payments or refund terms that is different from the above, then those terms of the specific packages shall prevail over the terms stated here.
Faulty Connection
Faulty connection refers to any internet or network connection that is not functioning properly, resulting in slow or intermittent connectivity, consistent lag or buffering, disconnections, or other technical issues that significantly impact the User from accessing or participating in METAMENTOR's services or joining a class they have purchased.
If you are experiencing such difficulties, you may try below:
· Check your internet connection: Before joining a class, make sure that your internet connection is stable and strong enough to support video streaming. You can do this by running a speed test on your internet connection.
· Restart your device: If you experience technical issues during a class, try restarting your device to see if that resolves the issue.
· Contact METAMENTOR support: If you are still experiencing technical issues, contact our support team for assistance at [email protected]. Our support team will work with you to troubleshoot the issue and help you join the class.
Please note that it shall be your own responsibility to ensure and secure a stable Internet connection before joining a class. METAMENTOR will not provide any refund if you are unable to join or participate in a class due to connectivity issues on your end. However, if you are unable to join or participate in a class due to technical issues on the Mentor's end, a replacement class may be scheduled or a refund may be provided.
International Users
The Service is controlled, operated, and administered by METAMENTOR from our offices within Malaysia. If you access the Website from a location outside of Malaysia, you are responsible for compliance with all local laws. You agree that you will not use the METAMENTOR content accessed through https://www.metamentor.com.my in any country or any manner prohibited by any applicable laws, restrictions, or regulations.
Indemnification
You agree to indemnify, defend and hold harmless METAMENTOR, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Website or services, any User postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. METAMENTOR reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with METAMENTOR in asserting any available defenses.
Liability Disclaimer
The information, software, products, and services included in or available through the website may include inaccuracies or typographical errors. METAMENTOR and its Mentor and its suppliers may make improvements and/or changes to the Website at any time without notice. While METAMENTOR and/or its Mentor and suppliers strive to provide accurate and up-to-date information, we make no representations or warranties of any kind, express or implied, regarding the suitability, reliability, availability, timeliness, or accuracy of the information, software, products, services, and related graphics contained on the Website for any purpose.
To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without warranty or condition of any kind. METAMENTOR and/or its suppliers hereby disclaim all warranties and conditions regarding this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, in no event shall METAMENTOR, its Mentor, and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Website, with the delay or inability to use the Website or related services, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the Website, or otherwise arising out of the use of the Website, whether based on contract, tort, negligence, strict liability or otherwise, even if METAMENTOR or any of its suppliers has been advised of the possibility of damages.
Law and Jurisdiction
This Agreement is governed by Malaysian law, and you hereby consent to the exclusive jurisdiction and venue of courts within Malaysia in all disputes arising out of or relating to the use of (or inability to use) the Website. It is unauthorized to use the Website in jurisdictions that do not uphold all the provisions outlined in these Terms, including this section.
You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and METAMENTOR as a result of this Agreement or use of the Website. METAMENTOR will comply and be subjected to all governmental, court, and law enforcement requests or requirements related to your use of the Website or information provided to or gathered by METAMENTOR in connection with such use. If any part of this Agreement is deemed invalid or unenforceable by applicable law, such provision will be replaced with a valid, enforceable provision that most closely aligns with the original intent. The remainder of the Agreement will continue to be in effect.
Unless otherwise specified herein, this Agreement constitutes the entire Agreement between the User and METAMENTOR with respect to the Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the User and METAMENTOR with respect to the Website. A printed version of this Agreement and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this Agreement and all related documents be written in English.
Termination/Access Restriction
METAMENTOR may terminate your access to the Website and the related services or any portion thereof at any time, without notice, at its sole discretion.

Mentor Obligations
As a Mentor, you are responsible for all content that you post, including lectures, quizzes, exercises, practice tests, assignments, resources, answers, course landing page content, assessments, and announcements ("Submitted Content”). Mentor are obligated to ensure that the Submitted Content is accurate, reliable, and up-to-date to the best of their knowledge and abilities. You also confirm that you either own the Submitted Content or possess the necessary licenses, permissions, consents, and rights to authorize METAMENTOR to use your Submitted Content. You guarantee that the Submitted Content does not infringe or misappropriate any third party’s intellectual property rights. Your Submitted Content corresponds with your industry standards and the expected demand for instructional services in general.
You warrant that you will not post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory, or libelous content. You shall not post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the services to any User. You may not use the METAMENTOR for business other than providing tutoring, teaching, and instructional services to User. It is prohibited to engage in any other business activities through METAMENTOR. You shall not engage in any activity that would necessitate METAMENTOR to obtain licenses or pay royalties to any third party, such as the public performance of musical works or sound recordings. You are prohibited from framing or embedding the services including but not limited to embedding a free version of a course or engaging in any other means to circumvent METAMENTOR. You shall not impersonate another person or gain unauthorized access to another User or Mentor's account. You shall not interfere with or otherwise prevent other Mentors from providing their services or content or abusing METAMENTOR resources, including support services.
Profit Sharing
In consideration of the Mentor providing its services to Users through METAMENTOR, METAMENTOR will pay 70% of the money collected from Users to Mentor, provided the same is not subject to any refund to the Users. METAMENTOR will keep 30% of the money collected from Users (which is not subject to any refund) to keep the Website in operation. The percentage split is subject to change with prior notice to Mentor. METAMENTOR shall have the right to deduct from the payment to the Mentor, the applicable taxes or transaction fees as required by law or third-party payment processors. Mentors are responsible for complying with applicable tax laws and regulations related to their earnings from METAMENTOR.
This provision however, shall not apply if Mentor has signed with VIP Innovation Sdn Bhd. a separate agreement or any legally binding document for any specific programme, scheme or package which shall have a different payment scheme ("Specific Agreement”). For avoidance of doubt, should there be any conflict between the term and conditions stated here and any Specific Agreement, then the terms stated in the Specific Agreement shall prevail.
Mentor Accounts

By way of example, and not as a limitation, you agree that when using a Communication Service, you agree not to violate the legal rights, defame, abuse, harass, stalk, threaten privacy and publicity of others; engaging in any conduct or behaviour of inciting hatred towards, any race, religion, government or ruler; publish, post, upload, distribute or disseminate any inappropriate, defamatory, infringing, obscene, indecent or unlawful material; upload files containing software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another User or Mentor of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; restrict or inhibit any other User or Mentor from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.
METAMENTOR has no obligation to monitor the Communication Services. However, METAMENTOR reserves the right to review materials posted to a Communication Service and to remove any materials at its sole discretion. METAMENTOR reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
METAMENTOR reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or remove any information or materials, in whole or in part, in METAMENTOR's sole discretion.
Please always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. METAMENTOR does not control or endorse the content, messages, or information found in any Communication Service and, therefore, METAMENTOR specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Mentors are not authorized METAMENTOR spokespersons, and their views do not necessarily reflect those of METAMENTOR.
Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction, and/or dissemination. You are responsible for adhering to such limitations if you choose to upload the materials.
User-Provided Materials and Submissions to METAMENTOR
METAMENTOR does not claim ownership of the materials you provide to the Website (including feedback and suggestions) or post, upload, input, or submit to the Website or our associated services (collectively "Submissions").
However, by making a Submission, you grant METAMENTOR and its related, associated, or affiliated companies permission to use your Submission in connection with the operation of their businesses including the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission. METAMENTOR also has the right to publish your name in connection with your Submission.
Except for the profit-sharing for services provided by you as a Mentor in the manner set out above, you will not receive any compensation with respect to the use of your Submission, as provided herein. METAMENTOR is under no obligation to post or use your Submission and may remove any Submission at any time at METAMENTOR's sole discretion.
By making a Submission, you warrant and represent that you own or otherwise control all the rights to your Submission, including, without limitation, all the rights necessary for you to provide, post, upload, input, or submit the Submissions.
Third-Party Accounts
METAMENTOR allows you to connect your account to third-party accounts. By connecting your METAMENTOR account to a third-party account, you acknowledge and agree that:
· You are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third-party sites).
· If you do not want information about you to be shared in this manner, you should not use this feature.
Links to Third-Party Sites
Additionally, the Website may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of METAMENTOR and METAMENTOR is not responsible for:
· The contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.
METAMENTOR is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by METAMENTOR of the site or any association with its operators.
Third-Party Services
Certain services made available via the Website are delivered by third party sites and organizations. By using any product, service, or functionality originating from the Website domain, you acknowledge and consent that:
· METAMENTOR may share such information and data with any third party with whom METAMENTOR has a contractual relationship to provide the requested product, service, or functionality on behalf of METAMENTOR’s User and customers.
Payments and Refunds
Wallet Policies
METAMENTOR offers an on-platform wallet function to all its Users and Mentors, which can be used for various types of transactions, such as purchasing courses or booking sessions with Mentors or payment to Mentors for services rendered. The terms and conditions for Users shall apply in relation to Mentors who purchases any courses, sessions or services through Metamentor.
All balances in Mentor’s wallet will be refunded to the account owner in the event of any closure or discontinuation of the platform. Balances stored in the wallet are not subject to any interest rates. Should the Mentor wish to withdraw in cash the balances stored in their wallet from the payments made to them for the Mentor’s services rendered, the Mentor may request to withdraw from their wallet through the Website via the "Withdrawal” function on the Website. The Website shall then credit the amount into the bank account details specified by the Mentor in the Website [Please specify Mentor’s bank account details in the "Accounts Settings” under the "Payments” tab].
’’In all circumstances, if any withdrawal or refund is unsuccessful (e.g., where the bank account or transfer details provided by the account owner are incorrect and the account owner is not traceable by METAMENTOR or does not respond to queries from METAMENTOR, then such unclaimed refunds may be forfeited by METAMENTOR after 1 year such refunds remaining unclaimed.

Cancellation/Replacement
If Mentor cancels any class or does not delivery any class for whatever reason, the Mentor must make arrangements to replace the class with the Users within a reasonable time. Should there not be any replacement made by the Mentor within a reasonable time, then the Mentor will not be paid any Profit share,
If cancellation of class is made by User, the User shall be entitled to the following refund:
· Cancellation made one week prior to the start of the class: 100% refund to the User.
· Cancellation made 72 hours (3 days) prior to the start of the class: 50% refund to the User.
· Cancellation made less than 72 hours (3 days) prior to the start of the class: No refund to the User.

The Profit share of the Mentor will be paid only after taking into account any refunds to the User.
Faulty Connection
You are responsible for ensuring that your internet or network connection is working properly to enable you to provide your services through METAMENTOR.
Faulty connection refers to any internet or network connection that is not functioning properly, resulting in slow or intermittent connectivity, consistent lag or buffering, disconnections, or other technical issues that significantly impact the Mentor from conducting classes.
If you are experiencing such difficulties, you may try below:
· Check your internet connection: Before conducting a class, make sure that your internet connection is stable and strong enough to support video streaming. You can do this by running a speed test on your internet connection.
· Restart your device: If you experience technical issues during a class, try restarting your device to see if that resolves the issue.
· Contact METAMENTOR support: If you are still experiencing technical issues, contact our support team for assistance at [email protected]. Our support team will work with you to troubleshoot the issue and help you start the class.
In the event a service from the Mentor (e.g. an online class, etc) has to be cancelled due to a faulty connection on the part of METAMENTOR, the Mentor shall replace the class with the User within a reasonable time.
International Mentors
The Service is controlled, operated, and administered by METAMENTOR from our offices within Malaysia. If you access the Website from a location outside of Malaysia, you are responsible for compliance with all local laws. You agree that you will not use the METAMENTOR content accessed through https://www.metamentor.com.my in any country or any manner prohibited by any applicable laws, restrictions, or regulations.
Indemnification
You agree to indemnify, defend and hold harmless METAMENTOR, its officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Website or services, any postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. METAMENTOR reserves the right, at its own cost, to assume the exclusive control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with METAMENTOR in asserting any available defences.
Liability Disclaimer
The information, software, products, and services included in or available through the Website may include inaccuracies or typographical errors. METAMENTOR and its Mentors and its suppliers may make improvements and/or changes to the Website at any time without notice. While METAMENTOR and/or its Mentors and suppliers strive to provide accurate and up-to-date information, we make no representations or warranties of any kind, express or implied, regarding the suitability, reliability, availability, timeliness, or accuracy of the information, software, products, services, and related graphics contained on the Website for any purpose.
To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without warranty or condition of any kind. METAMENTOR and/or its suppliers hereby disclaim all warranties and conditions regarding this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, in no event shall METAMENTOR, its Mentors, and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Website, with the delay or inability to use the Website or related services, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the Website, or otherwise arising out of the use of the Website, whether based on contract, tort, negligence, strict liability or otherwise, even if METAMENTOR or any of its suppliers has been advised of the possibility of damages.
Law and Jurisdiction
This Agreement is governed by Malaysian law, and you hereby consent to the exclusive jurisdiction and venue of courts within Malaysia in all disputes arising out of or relating to the use of (or inability to use) the Website. It is unauthorized to use the Website in jurisdictions that do not uphold all the provisions outlined in these Terms, including this section.
You acknowledge that no joint venture, partnership, employment, or agency relationship exists between you and METAMENTOR as a result of this Agreement or use of the Website. METAMENTOR will comply and be subjected to all governmental, court, and law enforcement requests or requirements related to your use of the Website or information provided to or gathered by METAMENTOR in connection with such use. If any part of this Agreement is deemed invalid or unenforceable by applicable law, such provision will be replaced with a valid, enforceable provision that most closely aligns with the original intent. The remainder of the Agreement will continue to be in effect.
Unless otherwise specified herein, this Agreement constitutes the entire Agreement between the Mentor and METAMENTOR with respect to the Website and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the Mentor and METAMENTOR with respect to the Website. A printed version of this Agreement and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this Agreement and all related documents be written in English.
Termination/Access Restriction
METAMENTOR may terminate your access to the Website and the related services or any portion thereof at any time, without notice, at its sole discretion.
